1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of the website at docreviewiq.com (the "Site"), owned and operated by Sprague Designs, LLC, doing business as DocReviewIQ ("DocReviewIQ," "we," "us," or "our"). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site. Separate terms will govern the DocReviewIQ software service (the "Service") when it launches, and those terms will be presented before you subscribe.
2. What the Site is, and is not
The Site describes a forthcoming software product that uses artificial intelligence to summarize property inspection reports. Content on the Site, including examples of summaries, severity classifications, and repair request documents, is illustrative marketing material. Nothing on the Site is a home inspection, an engineering opinion, legal advice, or professional advice of any kind, and nothing on the Site creates a professional relationship between you and DocReviewIQ.
3. AI generated content
When available, the Service will produce AI generated summaries and documents intended solely as communication aids. AI generated output can contain errors or omissions. Summaries do not replace the original inspection report or the findings of the licensed inspector who prepared it, and the original report remains the authoritative record in every case. Users of the Service are responsible for reviewing all output before relying on it or sharing it with any third party.
4. Early access and waitlist
Submitting the early access form does not create a subscription, guarantee access to the Service, or form a contract for the Service. Any launch dates, prices, features, or plans shown on the Site are subject to change or withdrawal at any time before you enter a subscription agreement.
5. Acceptable use
You agree not to misuse the Site. Among other things, you will not attempt to gain unauthorized access to any systems, interfere with the Site's operation, scrape the Site in violation of our robots directives for the purpose of republishing its content commercially, submit false or misleading information through our forms, or use the Site in violation of applicable law.
6. Intellectual property
The Site and its contents, including text, graphics, logos, and design, are owned by DocReviewIQ or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for personal and internal business evaluation purposes. No other rights are granted. "DocReviewIQ" and the DR monogram are trademarks of DocReviewIQ; you may not use them without our prior written permission.
7. Third party links and services
The Site may link to or rely on third party services, such as our form processing provider. We are not responsible for the content or practices of third parties, and your use of their services is governed by their own terms.
8. Disclaimer of warranties
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR FREE, OR SECURE, OR THAT INFORMATION ON THE SITE IS COMPLETE, ACCURATE, OR CURRENT.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DOCREVIEWIQ AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless DocReviewIQ from claims, damages, and expenses, including reasonable attorneys' fees, arising out of your violation of these Terms or your misuse of the Site.
11. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws rules. Any dispute arising out of these Terms or the Site will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their jurisdiction.
12. Changes to these terms
We may revise these Terms from time to time. The "Last updated" date shows the latest revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
13. Miscellaneous
If any provision of these Terms is found unenforceable, the remainder stays in effect. These Terms are the entire agreement between you and us regarding the Site and supersede prior agreements on that subject. Our failure to enforce any provision is not a waiver.
